When capital market communication becomes crucial to a business.
Investor Relations & Capital Markets | IPO | Strategic Advisor & Interim Executive — Katrin Neuffer
I support CEOs and CFOs in capital market situations where investor relations must deliver rapid results, capital market expectations need to be managed, decisions require thorough preparation, and communication with investors, analysts and other stakeholders must be precisely targeted.
As a Strategic Advisor and Interim Executive, I take on responsibility during phases when the executive board and organisation need tangible relief – during planned IPOs, strategic realignments, CEO positioning, post-IPO situations, periods of increased volatility or leadership transitions, where investor relations must remain fully operational at all times. My focus lies on investor relations strategy, capital markets, the equity story, IPO communication and
capital market positioning.
I get up to speed quickly, think entrepreneurially and combine analytical depth with clear communication and operational implementation – ensuring that companies remain understandable, credible and capable of acting on the capital market.
“For me, investor relations is not merely a communications function. It is a strategic control mechanism in the capital markets.”
Investor Relations as a Strategic Capital Markets Function
The capital market is not just about reporting figures. What matters is whether investors and analysts understand what a company stands for, how it creates value and why its strategy is viable. This is precisely where my work comes in.
I develop investor relations strategies, refine equity stories and support companies in positioning themselves in the capital markets in a clear, robust and credible manner. This is not about individual communication measures, but about the interplay between strategy, the capital markets, investor expectations and the reality of the business.
Not every capital markets situation immediately warrants a full-time in-house role or the establishment of a dedicated investor relations team. Particularly in the run-up to a potential IPO, during staff transitions or in periods of limited demand, external executive expertise can be more efficient than lengthy recruitment processes, rigid structures or premature staffing decisions. I get up to speed quickly, largely organise my own induction and take on responsibility without a lengthy start-up phase. This ensures that investor relations remains fully operational straight away – including professional communication with investors, analysts, the financial press and internal stakeholders. If an IPO is postponed or the market window does not open as planned, the mandate remains flexible: it can be terminated, paused or resumed at a suitable time. This ensures the company receives exactly the expertise required at each stage – without establishing structures that are not yet suited to the company’s current phase.
Flexible IR support in the face of cost pressures and limited demand
In challenging periods of change, I ensure that capital markets communications, financial communications and internal coordination are aligned. It is precisely during phases of transformation, restructuring or increased volatility that investors, analysts, the media and employees need guidance. I support companies in providing this guidance clearly and consistently.
Transformation, Restructuring & Increased Volatility
In addition to IPOs, I also provide communications support for other capital market-related transactions – such as capital increases, share buy-backs, bond placements, the entry of anchor investors, mergers or similar special topics. My focus here is on clear capital markets communication, robust messaging, seamless internal coordination and the precise framing of information for investors, analysts, the financial media and other stakeholders.
Communications support for capital market transactions
I also take charge of day-to-day IR and financial communications – reliably, in a structured manner and with direct links to the Executive Board and relevant specialist departments. This includes quarterly and annual reports, national and international roadshows, meetings with analysts and investors, briefings for the financial press, and the communication-related preparation for and support of the Annual General Meeting. Where required, I also act as spokesperson to the financial press – particularly where capital market issues, earnings performance, strategy or situations of change need to be accurately contextualised.
Managing day-to-day IR and financial communications effectively
I support CEOs, CFOs and existing IR teams in taking a more strategic approach to investor relations, professionalising processes and managing communication with investors and analysts in a more targeted manner. This includes investor targeting, expectation management, expanding analyst coverage, Capital Markets Days (CMD), reporting processes and the further development of internal IR structures. A mandate is also advisable when an existing IR team or IR manager needs to be prepared for a new corporate strategy – for example, in the wake of a merger or a strategic realignment.
Strategically developing investor relations
Interim Head of Investor Relations
I manage personnel transitions in investor relations or capital markets communications, ensure continuity and make sure that investors, analysts and the capital markets remain professionally informed even during transitional phases. This includes ongoing IR activities, regulatory disclosures, reporting processes, roadshows, analyst communications, investor targeting and the professional handover to a permanent successor.
The capital markets do not merely assess strategy, financial figures and market position. They also assess whether the Executive Board and management are perceived as credible, capable of taking decisive action and strategically convincing leaders. I support the positioning of board members vis-à-vis investors, analysts, the financial media and strategically relevant capital market stakeholders – not with a view to visibility alone, but to strategic effectiveness, trust and a robust market positioning. This includes carefully selected topics, regular dialogue with relevant capital market stakeholders and the clear articulation of strategy, change and corporate development.
Positioning the Executive Board in the capital markets
When a company’s strategy, business model or market environment needs to be re-explained, I help companies refine their equity story and further develop their capital market positioning. The aim is to translate corporate strategy, value potential and capital market expectations into a clear, robust and credible narrative.
Equity Story & Capital Market Positioning
Following an initial public offering, I support companies when expectations need to be recalibrated, investor relations professionalised and confidence in the capital market strengthened. This is particularly relevant during phases when the share price has fallen below the issue price, the equity story needs to be refined, or the capital market expects a clearer understanding of the company’s strategy, development and value potential.
Post-IPO & Capital Market Confidence
I support companies in preparing for a potential stock market flotation – even when the timing and market window have not yet been finalised. From the equity story and investment case through to the interface between the Executive Board, investment banks, legal advisers, auditors and internal teams, I help to build capital market readiness and ensure consistent communication with investors and analysts.
IPO & Capital Market Readiness
Assignments in which I take on responsibility
Investor relations and capital markets communication must function effectively even when there is little time for lengthy transitions.
I join a company when capital markets issues need to be managed strategically, implemented operationally and coordinated effectively both internally and externally – with a direct link to the board, management and relevant specialist departments. Typical scenarios include planned IPOs, changes to the Executive Board, strategic realignments, post-IPO phases, increased capital market pressure, or situations where a full-time internal role is not yet economically or structurally viable.
“Capital markets don’t just evaluate figures. They also assess whether a company is understood.”
Strategic Advisor or Interim Executive
Depending on the situation, I work as a strategic advisor, in an operational capacity within the company, or a combination of both.
As a Strategic Advisor
I support CEOs and CFOs on matters relating to investor relations strategy, capital market positioning and communication with investors, analysts and other stakeholders.
In doing so, I see myself as a sparring partner for the board and management – with a focus on capital market expectations, clear messaging and strategic decisions relating to investor relations, capital markets, the equity story and IPO communication.
As an Interim Executive
I take on responsibility within the company when investor relations need to be managed, established or further developed at short notice.
In doing so, I work directly with the Executive Board, senior management, finance, legal, HR, communications, external advisers, banks, investors and analysts. I manage these matters not only at a strategic level but also at an operational level – from prioritisation through to implementation.
Through rapid induction, entrepreneurial thinking and close collaboration with specialist departments, I take on responsibility without a lengthy lead-in period – and shorten the recruitment, handover and induction phases in situations where capital market matters need to be handled professionally and immediately. This quickly provides tangible relief for the Executive Board and the organisation.
Why proximity to the company is crucial
Capital markets communication cannot be managed from a distance.
It must align with the company’s strategy, take internal realities into account and be endorsed by the Executive Board. That is why external communications support is often insufficient in critical capital markets situations.
As an interim executive, I work closely with the company: with a direct link to the Executive Board and in close consultation with management, finance, legal, HR, communications and other relevant departments. Precisely because investor relations require sensitivity, experience and swift, well-informed decisions, this proximity is crucial. Issues can be clarified directly, messages carefully coordinated and priorities set quickly.
In this way, communication does not arise alongside the company, but from within it.
What this proximity enables
-
faster decision-making
-
clear priorities
-
better internal coordination
-
robust messaging
-
consistent communication both internally and externally
-
greater confidence in critical capital market situations
-
significant relief for the Executive Board and the organisation
-
knowledge that remains within the company
“Good capital markets communication does not end with the mandate.
It remains within the company in the form of structure, knowledge and clarity.”
What should remain after an engagement
For me, an engagement is successful if the company is left in a clearer, more stable and more professional position.
This includes:
-
a more focused equity story
-
clearer positioning in the capital markets and a better understanding of the company’s place within them
-
an investor relations function capable of taking action
-
reliable reporting and disclosure processes
-
consistent communication with investors and analysts
-
better internal coordination between the Executive Board, Finance, Legal, Communications and other specialist departments
-
strengthened teams and transferable expertise
-
greater confidence when dealing with capital market-related changes
-
a noticeable reduction in the workload for the Executive Board
After a mandate, the Executive Board and team should be able to say: ‘The collaboration was professional, effective in terms of presentation and took the pressure off us.’ Responsibility was assumed swiftly, decisions were thoroughly prepared, and capital market issues were managed clearly both internally and externally. Even after an assignment has ended, I am happy to remain a sparring partner on specific issues – for the Executive Board, Investor Relations, Communications or related departments.
For me, ‘interim’ is not just about bridging a gap. It is about creating structures that will continue to be of benefit after the assignment has ended.

Frequently Asked Questions
When is it advisable to engage an investor relations adviser?
When investor relations are not merely being managed on an operational basis, but are to be developed strategically – for example, in the event of a new capital market positioning, a changed equity story, IPO preparations, post-IPO phases, transformation, restructuring or increased volatility.
How does an executive board know that external investor relations support is advisable?
Typical triggers include planned IPOs, a change in the executive board, a strategic realignment, a merger, increased capital market pressure following the IPO, or cost pressures where a full-time in-house role is not yet economically viable.
When does a company need an interim Head of Investor Relations?
When an IR role is vacant at short notice, when filling the vacancy could take several months, or when investor relations need to be managed reliably during a critical phase for the company. An interim appointment also makes sense when an existing IR team or an IR manager needs to be prepared for a new corporate strategy – for example, following a change of CEO involving strategic repositioning.
When does it make financial sense to seek external IR support?
External IR support is particularly useful when there is a clear need for it, but an in-house, full-time structure is not yet appropriate for the company’s current stage – for example, ahead of a potential IPO, where positions are vacant, or in the case of smaller listed companies. In such situations, I can provide the necessary expertise at short notice, without the need for lengthy recruitment processes, permanent staffing decisions or the establishment of internal structures that may not be required in the long term. An external engagement offers particular flexibility in the run-up to an IPO: if the listing does not go ahead or the market window shifts, the engagement can be terminated or resumed at a suitable time.
How do I support companies with IPO communications and their equity story?
I support companies in developing their equity story, investment case, capital market positioning and communications structure – working at the interface between the board, banks, advisers and internal teams. Where required, I also support companies beyond the IPO and assist in building an effective IR team.
When is investor relations particularly important following an IPO?
Following the IPO, my work takes on a central role, as I ensure compliance with all disclosure and publicity obligations under capital markets legislation. The company must build trust in the capital markets, actively manage expectations and continuously reaffirm or refine its equity story. Investor relations becomes particularly important when the share price falls significantly below the issue price, when analysts and investors expect more guidance, or when the company’s positioning in the capital markets is not clearly understood.
What distinguishes an interim investor relations professional from an agency?
An agency usually provides support from outside the organisation. As an interim executive, I work directly within the company, am involved in internal decision-making processes, and take on operational responsibility for capital market-related issues. Where necessary, I can draw on experts from my network specialising in financial communications, IPO communications or transformation – for example, during periods of peak workload or for clearly defined specialist topics; in such cases, I coordinate agencies and service providers.
Why am I frequently re-appointed or commissioned again?
Because I operate confidently at C-level, offer a high degree of flexibility, think entrepreneurially and focus on current needs. I work closely with the Executive Board, management and relevant specialist departments, and quickly deliver robust results. Particularly in investor relations and capital markets communications, sensitivity, experience and the ability to prepare well-founded decisions swiftly are essential. This quickly results in a noticeable reduction in the workload for the Executive Board and the organisation, as well as building long-term trust.
What role does corporate communications play?
For me, corporate communications is relevant where it intersects with the capital markets, the financial press, internal communications and corporate positioning. It is crucial that strategy, internal reality and the external message align and are closely coordinated – particularly during periods of change relevant to the capital markets (One Voice Policy).
“In challenging situations, it’s not about individual measures.
It’s about steering strategy, the capital markets and the organisation in a clear direction.”
